			<content:encoded><![CDATA[<p>A generation of music lovers is getting ripped off.  That&#8217;s the feeling among audiophiles who say that MP3 compression, which has made music portable, affordable, and packable on small devices, has ruined the music.  In some cases, it&#8217;s ruining your ears.  &#8221;There&#8217;s been an overdose, in my opinion, of this altering of the original sound,&#8221; says Mick Fleetwood of Fleetwood Mac.</p>
<p>For years, Fleetwood and other artists like Neil Young have decried the &#8220;dumbing down&#8221; of their master recordings through MP3. Some of them have been developing technologies to try to restore the original sound, or at least improve upon it. But often that restoration results in songs taking up a lot more memory. Suddenly, your digital player goes from being able to hold 20,000 songs to, like, 100.</p>
<p>Fleetwood has joined the advisory board of a company called Max Sound (<a href="http://experience.maxsound.com/invest/">Symbol: MAXD</a>), which is releasing its new MAXD technology this weekend at the Grammys. In an exclusive interview with CNBC, Fleetwood joined Max Sound CEO John Blaisure in explaining how the technology works.</p>
<p>The company acquired the rights to software developed by Lloyd Trammell, a highly regarded sound engineer who created the first Surround Sound system. Trammell has come up with a process to restore the high and low ends of the sound wave which are cut off in the compression process, somehow managing to do this while keeping the entire music file the same size. &#8220;It (the software) sees all of the data still in there, it says &#8216;I know what you are and I know where you belong,&#8217; and it literally reshapes that perfect wave sign within that file size,&#8221; says Blaisure. &#8220;At the same time, it discards all of the trash caused by that compression.&#8221;</p>
<p>The company gave me a demonstration, playing several songs, alternating between the MP3 version, and then streamed through MAXD software.  You really can tell the difference.</p>
<p>&#8220;It was gobstopping,&#8221; says Fleetwood about the first time he heard it. He says even a child could recognize the difference, and the resulting music creates an emotional response. &#8220;I went, &#8216;thank God&#8217; we can get out of this prison, this sonic prison that I consider that the whole world has been put into.&#8221;</p>
<p>Max Sound will soon release a free Android app which will allow you to stream your MP3 songs through the software and have it restored in real time. Once that&#8217;s up and running, they plan to launch their Apple app with future rollouts planned for Windows and Apple Desktop APPs. Eventually, the company hopes to make money by allowing you to convert your entire MP3 collection and store it on a device for much less money than buying the songs outright all over again, though it is also building its own music store in case you want to do that. One thing MAXD cannot do at the moment is convert songs you&#8217;re listening to on streaming services like Pandora.</p>
<p>Blaisure says the company recently secured a $50 million equity line of credit which he&#8217;s confident will get the company through, as it tries to convince people who&#8217;ve gotten used to the sound of MP3 that there really is a better way to listen to music.  &#8221;It&#8217;s like bringing it back to life,&#8221; says Fleetwood.</p>

			<content:encoded><![CDATA[<p>On January 25, 2012, Max Sound Corporation (the &#8220;Company&#8221;) signed a purchase agreement with GEM Global Yield Fund Limited (&#8220;GEM&#8221;), a company incorporated under the laws of the Cayman Islands, together with a registration rights agreement, whereby GEM has agreed to purchase up to $50 million (the &#8220;Aggregate Limit&#8221;) of our common stock over a 24-month period(the &#8220;Investment Period&#8221;) (the &#8220;Purchase Agreement&#8221; and &#8220;Registration Rights Agreement&#8221;, respectively). Under the Registration Rights Agreement, the Company agreed to file an S-3 Registration Statement with the Securities and Exchange Commission (&#8220;SEC&#8221;) covering the shares that may be issued to GEM under the Purchase Agreement only after meeting the S-3 eligibility requirements (&#8220;S-3 Eligible&#8221;).</p>
<p>The purchase price of the shares related to the future funding will be based on a 10% discount to the prevailing market prices of the Company&#8217;s shares at the time of sales, and the Company will control the timing and amount of any sales of shares to GEM.</p>
<p>In consideration for entering into the $50 million Purchase Agreement, GEM will receive a structuring fee<br />
from the Company equal to two percent (2%) of half the Aggregate Limit, payable from not more than 15% of any gross proceeds from any Draw Down Amount and not later than 24 months from the date on which the Company becomes S-3 eligible (the &#8220;Structuring Fee&#8221;). If the Company does not become S-3 Eligible, the Company will have no obligation to pay any Structuring Fee to Purchaser at any time. If at any time during the Investment Period, the Company becomes S-3 Eligible and maintains such eligibility for a period of at least 90 days, the Structuring Fee must be paid by the Company.</p>
<p>In connection with the Purchase Agreement, GEM and 590 Partners Capital, LLC, an affiliate of GEM, will each receive common stock purchase warrants, (the &#8220;Warrants&#8221;), to purchase for a period of five years up to 12,000,000 shares of Common Stock at an exercise price per share equal to the greater of $1.00 or an amount equal to 130% of the average Daily Closing Price based on the 15 trading days preceding March 31, 2012.</p>
<p>The Company shall have no obligation to register any of the shares underlying the Warrants until GEM has been directly or indirectly been responsible for a bona fide fair market offer for a licensing or funding opportunity that results in at least $3,000,000 of funding for the Company within six months from the period beginning on January 25, 2012 and ending 180 days later.</p>
<p>If the Company does not become S-3 Eligible for a 90-day period within six months from the period beginning on January 25, 2012 and ending 180 days later, and if GEM does not, within six months from the date of January 25, 2012, deliver to the Company a bona fide fair market offer for a licensing or funding opportunity that results in the Company receiving at least $3,000,000 of funding, then 21,600,000 of the Shares issuable upon exercise of the Warrants shall expire immediately and in their entirety 181 days after January 25, 2012 and the remaining 2,400,000 of the Shares issuable upon exercise of the Warrants shall remain intact without a cashless exercise option and without the Company having any obligation to register the shares underlying the Warrants other than in accordance with piggyback registration rights in the event that the Company otherwise files a registration statement.</p>
<p>The Purchase Agreement may be terminated at any time by written mutual consent. The Company shall not enter into any agreement, the principal purpose of which is to secure an other financing during the Investment Period. The proceeds received by the Company under the common stock purchase agreement will be used for general working capital purposes.</p>
<p>The foregoing description of the Purchase Agreement and the Registration Rights Agreement are qualified in their entirety by reference to the full text of the common stock purchase agreement and the registration rights agreement, a copy of each of which is attached hereto as Exhibit 10.1 and 10.2, respectively, and each of which is incorporated herein in its entirety by reference.</p>

<p>In 1964 Mick Fleetwood met Peter Green and together in 1967 they formed the original blues lineup of Fleetwood Mac with Jeremy Spencer and John McVie. One year later guitarist Danny Kirwan joined the band. By 1969, Fleetwood Mac topped the British singles charts with their first million selling single, “Albatross”. Subsequent singles, “Man of the World” and “Oh Well,” saw Fleetwood Mac out-sell The Beatles and The Rolling Stones that year. By the time Mick Fleetwood was twenty-one years old, he had already played with such great blues artists as Willie Dixon, B.B. King, Buddy Guy and John Lee Hooker.</p>
<p>In 1970, Peter Green left the group and Mick Fleetwood assumed the role of bandleader and manager. He recruited Christine McVie and Fleetwood Mac carried on making great music. Throughout the years Fleetwood Mac went through many personnel changes, and in 1974 Fleetwood met, and added, Stevie Nicks and Lindsey Buckingham to the lineup. This proved to be a magical combination. In 1975, with the release of this lineup’s first album, FLEETWOOD MAC, the band quickly became an American household name. But it was their 1977 multi-Grammy award winning release RUMOURS that today still stands as one of the biggest selling albums of all time having sold over 40 million copies worldwide. It was also under Fleetwood’s guidance that Fleetwood Mac capitalized on their success with ground breaking world tours and further innovative releases, among them TUSK, MIRAGE, and TANGO IN THE NIGHT.</p>
<p>The year 1997 marked the twentieth anniversary of RUMOURS. Fleetwood Mac celebrated this milestone with the 5x multi-platinum, live album THE DANCE, which debuted at number one and remained on the Billboard charts for 77 weeks. The band also embarked on a much-anticipated U.S. tour. This event brought Mick Fleetwood, John McVie, Christine McVie, Stevie Nicks and Lindsey Buckingham back together for 62 sold out shows. Early 1998 found Fleetwood Mac inducted into the Rock n’ Roll Hall of Fame and also at the Brit Awards where they were given the award for Outstanding Contribution to British Music.</p>
<p>Throughout Fleetwood’s career he always wanted to capture that “True Organic Sound” that was in his head. <p>In addition to being a successful writer, arranger and producer within the music industry, Norman Whitfield Jr. is the son of the late great Norman Whitfield, writer and producer of many of Motown’s classics, Norman co-wrote and produced many enduring hits for various Motown artists, including “Ain’t Too Proud to Beg”, “(I Know) I’m Losing You”, “I Heard It Through the Grapevine”, “Cloud Nine”, “I Can’t Get Next to You”, “War”, “Ball of Confusion (That’s What the World Is Today)”, “Just My Imagination (Running Away with Me)”, “Smiling Faces Sometimes”, “Papa Was a Rollin’ Stone” and “Car Wash”, having worked extensively with The Temptations as a producer and songwriter producing eight of their albums between 1969 and 1973. Alongside his Motown lyrical collaborator Barrett Strong, Whitfield Sr. was inducted into the Songwriter’s Hall of Fame in 2004. </p>
<p>Like his father, Norman Whitfield Jr. has made a name for himself in the music business and worked with artists such as Jody Watley, Keith Washington, Miki Howard, The Pointer Sisters, Pattie LaBelle, and 2Pac to name a few.
