Santa Monica, Calif., May 8, 2012 – Max Sound Corporation (OTC Bulletin Board: MAXD), an innovative audio technology company that is changing how we listen to music, watch movies, play video games, experience television and communicate on our mobile devices, announced further progress today in its “Strategic Partnership” to introduce MAXD technology to the U.S. Federal Government.

Government sales partner Intelesis Technologies Corporation http://www.intelesistech.com/about.html, a veteran owned small business with Federal and State of California contracts, won a 3 year, $22 million contract with the Navy last week. Intelesis is currently working to gain Government approval for the insertion of MAXD technology into existing, fully funded programs of record – with a view toward improving the quality of Navy satellite and terrestrial voice communications, acoustic signal processing and the performance of a number of Navy command, control, communications, computers and intelligence (C4I) systems.

The Government’s announcement last week states:

Intelesis Technologies Corp., San Diego, Calif., is being awarded a $22,090,612 indefinite-delivery/indefinite-quantity, cost-plus-fixed-fee contract to provide command, control, communications, computers, and intelligence (C4I) software engineering support to include engineering products related to C4I software applications and databases or database management systems for current and future C4I systems. Technical support will include the full range of software development including system requirements, design, implementation, integration, and documentation. This is one of six multiple award contracts: all awardees will compete for task orders during the ordering period. This three-year contract includes one, two-year option, which, if exercised, would bring the potential value of this contract to $37,907,087. Work will be performed at government facilities in San Diego, Calif. (90 percent), and at the contractor’s facilities in San Diego, Calif. (10 percent). Work is expected to be completed April 26, 2015. Contract funds will not expire at the end of the current fiscal year. This contract was competitively procured via Request for Proposal N66001-11-R-0046 published on the Federal Business Opportunities website, and the SPAWAR e-Commerce Central website, with six offers received. The Space and Naval Warfare Systems Center Pacific, San Diego, Calif., is the contracting activity (N66001-12-D-0113).

Santa Monica, Calif., May 1, 2012 – Max Sound Corporation (OTC Bulletin Board: MAXD), an innovative audio technology company that is changing how we listen to music, watch movies, play video games, experience television and communicate on our cellular devices, announced today a “Strategic Partnership” to introduce the MAXD technology to the U.S. Federal Government and the State of California.

The Federal Government is the largest consumer in the world, representing 24 percent of the gross domestic product (GDP) of the United States. Within its $3.79 trillion budget, the Federal Government spends over $79.8 billion on information technology and another $76 billion on technology research annually, through competitive procurements administered by thousands of government buyers through dozens of departments, agencies, bureaus and commissions. Due to complex acquisition regulations, less than 1% of competing companies are actively winning government contracts. As such, in order to gain traction with the Federal Government, Max Sound Corporation recognized they needed to team with a proven Government contractor with a broad base of contracts and relationships across a spectrum of all Government agencies.

Following an extensive vetting process, Max Sound selected Intelesis Technologies Corporation, http://www.intelesistech.com/about.html, a veteran owned small business with both the requisite criteria and access to the 22% of Federal spending earmarked exclusively for small business. Intelesis, in turn, has agreed to facilitate a minimum of $1 million dollars of annual federal sales in each of the next five years in order to maintain exclusive marketing rights.

Regarding MAXD technology, Intelesis CEO Rob Jenks commented, “After a several months of the vetting process with government buyers, we’ve determined that there is a definite, unfilled need for the MAXD Technology in many Government sectors. We see the potential for using this remarkable audio technology for improving the quality of satellite and terrestial voice communications, acoustic signal processing and the performance of a number of warfighting systems.”

“After many meetings with Intelesis and a number of their customers, it became obvious to all that MAXD Audio Technology fits with a number of military applications” noted John Blaisure, CEO of Max Sound Corporation. “We are obviously pleased that this is the case and look forward to working with the United States Government to see the technology employed in a number of front-line programs.”

Rock Mafia, one of the biggest pop production teams in the world, with over 50 million albums and 25 million singles sold, adopts MAXD technology

Dynamic Duo Tim James and Antonina Armato Join Max Sound Advisory Board becoming newest members to recognize MAXD technology value to audio processing

Santa Monica, Calif., April 24, 2012 – Max Sound Corporation (OTC Bulletin Board: MAXD) an innovative technology company, that is changing how we listen to music, watch movies, play video games, experience television and communicate on our cell phones announced today a strategic partnership and newest major music industry adopters of the MAXD technology with the entertainment super producers, ROCK MAFIA. Rock Mafia, is the record production/songwriting team, consisting of Tim James and Antonina Armato. Rock Mafia is credited for writing and producing for a great number of top pop and rock artists such as Miley Cyrus, Mariah Carey, Scotty McCreery, Selena Gomez, Demi Lovato, American Idol, Disney’s Hollywood Records and has a major label venture with Interscope Records.

People may think it’s easy to define Rock Mafia. A quick glance on Wikipedia tells us that Rock Mafia is one of the biggest pop production teams in the world, with over 50 million albums and 25 million singles sold, along with over 2 billion views on Youtube alone, a seemingly endless pop discography spanning the last decade with hits from Mariah Carey to Miley Cyrus to Selena Gomez. Upon closer inspection, however, there are a few surprises. One may not know Rock Mafia also wrote and produced some of the biggest records on active rock radio over the past two years, including Sick Puppies’ number 1 single that ruled the Top 10 airwaves for over six months, “You’re Going Down,” to “Odd One,” “Maybe,” and “Riptide.” Furthermore, following the reproduction and remix by Rock Mafia, Billy Ray Cyrus’ hit song, “Ready, Set, Don’t Go” peaked at number 2 on the country charts.

Perhaps the biggest surprise of them all was Rock Mafia’s debut release as an artist, “The Big Bang.” The hit song sold over 500,000 in digital downloads independently, gained over 100 million streams as well as over 15 million views of their video on You tube.

The team is currently hard at work on a Mixtape, rumored to be released sometime this summer, as well as putting the final touches on a groundbreaking animated video for their follow up single, “Fly or Die.” 2012 is shaping up to be better than ever for Rock Mafia. The double platinum smash, “Love You Like a Love Song” by Selena Gomez, continues to enjoy worldwide success. In addition, their first European smash, “Friends” by Aura Dione featuring Rock Mafia, is currently the #1 most played song on German radio and has gone top 5 in multiple countries.

“We feel that once every artist hears what MAXD can do for their music, they will want to utilize this incredible technology,” said Rock Mafia Co-Founder Tim James.

“TJ and Antonina are so full of passion for music and constantly speak of the culture, lifestyle, and making music to connect with millions of people. Clearly, they’re less interested in finding formulas than they are making history. In this “strategic partnership” Rock Mafia will use the Max Sound Technology for all their future projects. Tim and Antonia were so impressed with MAXD Technology that the duo decided to join the company’s Advisory Board and become ‘Brand Ambassadors’ for MAXD. Our Advisory board is proving to be the tipping point for introducing MAXD into music’s vertical markets where compressed degraded audio currently exists and where MAXD provides an unparalleled solution,” said John Blaisure, CEO of Max Sound Corporation.

A generation of music lovers is getting ripped off. That’s the feeling among audiophiles who say that MP3 compression, which has made music portable, affordable, and packable on small devices, has ruined the music. In some cases, it’s ruining your ears. ”There’s been an overdose, in my opinion, of this altering of the original sound,” says Mick Fleetwood of Fleetwood Mac.

For years, Fleetwood and other artists like Neil Young have decried the “dumbing down” of their master recordings through MP3. Some of them have been developing technologies to try to restore the original sound, or at least improve upon it. But often that restoration results in songs taking up a lot more memory. Suddenly, your digital player goes from being able to hold 20,000 songs to, like, 100.

Fleetwood has joined the advisory board of a company called Max Sound (Symbol: MAXD), which is releasing its new MAXD technology this weekend at the Grammys. In an exclusive interview with CNBC, Fleetwood joined Max Sound CEO John Blaisure in explaining how the technology works.

The company acquired the rights to software developed by Lloyd Trammell, a highly regarded sound engineer who created the first Surround Sound system. Trammell has come up with a process to restore the high and low ends of the sound wave which are cut off in the compression process, somehow managing to do this while keeping the entire music file the same size. “It (the software) sees all of the data still in there, it says ‘I know what you are and I know where you belong,’ and it literally reshapes that perfect wave sign within that file size,” says Blaisure. “At the same time, it discards all of the trash caused by that compression.”

The company gave me a demonstration, playing several songs, alternating between the MP3 version, and then streamed through MAXD software. You really can tell the difference.

“It was gobstopping,” says Fleetwood about the first time he heard it. He says even a child could recognize the difference, and the resulting music creates an emotional response. “I went, ‘thank God’ we can get out of this prison, this sonic prison that I consider that the whole world has been put into.”

Max Sound will soon release a free Android app which will allow you to stream your MP3 songs through the software and have it restored in real time. Once that’s up and running, they plan to launch their Apple app with future rollouts planned for Windows and Apple Desktop APPs. Eventually, the company hopes to make money by allowing you to convert your entire MP3 collection and store it on a device for much less money than buying the songs outright all over again, though it is also building its own music store in case you want to do that. One thing MAXD cannot do at the moment is convert songs you’re listening to on streaming services like Pandora.

Blaisure says the company recently secured a $50 million equity line of credit which he’s confident will get the company through, as it tries to convince people who’ve gotten used to the sound of MP3 that there really is a better way to listen to music. ”It’s like bringing it back to life,” says Fleetwood.

On January 25, 2012, Max Sound Corporation (the “Company”) signed a purchase agreement with GEM Global Yield Fund Limited (“GEM”), a company incorporated under the laws of the Cayman Islands, together with a registration rights agreement, whereby GEM has agreed to purchase up to $50 million (the “Aggregate Limit”) of our common stock over a 24-month period(the “Investment Period”) (the “Purchase Agreement” and “Registration Rights Agreement”, respectively). Under the Registration Rights Agreement, the Company agreed to file an S-3 Registration Statement with the Securities and Exchange Commission (“SEC”) covering the shares that may be issued to GEM under the Purchase Agreement only after meeting the S-3 eligibility requirements (“S-3 Eligible”).

The purchase price of the shares related to the future funding will be based on a 10% discount to the prevailing market prices of the Company’s shares at the time of sales, and the Company will control the timing and amount of any sales of shares to GEM.

In consideration for entering into the $50 million Purchase Agreement, GEM will receive a structuring fee
from the Company equal to two percent (2%) of half the Aggregate Limit, payable from not more than 15% of any gross proceeds from any Draw Down Amount and not later than 24 months from the date on which the Company becomes S-3 eligible (the “Structuring Fee”).
In connection with the Purchase Agreement, GEM and 590 Partners Capital, LLC, an affiliate of GEM, will each receive common stock purchase warrants, (the “Warrants”), to purchase for a period of five years up to 12,000,000 shares of Common Stock at an exercise price per share equal to the greater of $1.00 or an amount equal to 130% of the average Daily Closing Price based on the 15 trading days preceding March 31, 2012.

The Company shall have no obligation to register any of the shares underlying the Warrants until GEM has been directly or indirectly been responsible for a bona fide fair market offer for a licensing or funding opportunity that results in at least $3,000,000 of funding for the Company within six months from the period beginning on January 25, 2012 and ending 180 days later.

If the Company does not become S-3 Eligible for a 90-day period within six months from the period beginning on January 25, 2012 and ending 180 days later, and if GEM does not, within six months from the date of January 25, 2012, deliver to the Company a bona fide fair market offer for a licensing or funding opportunity that results in the Company receiving at least $3,000,000 of funding, then 21,600,000 of the Shares issuable upon exercise of the Warrants shall expire immediately and in their entirety 181 days after January 25, 2012 and the remaining 2,400,000 of the Shares issuable upon exercise of the Warrants shall remain intact without a cashless exercise option and without the Company having any obligation to register the shares underlying the Warrants other than in accordance with piggyback registration rights in the event that the Company otherwise files a registration statement.

The Purchase Agreement may be terminated at any time by written mutual consent. The Company shall not enter into any agreement, the principal purpose of which is to secure an other financing during the Investment Period. The proceeds received by the Company under the common stock purchase agreement will be used for general working capital purposes.

Santa Monica, Calif., November 4, 2011 – Max Sound Corporation (OTC Bulletin Board: MAXD) an innovative technology company, that is changing how we listen to music, watch movies, experience television, and communicate on our cell phones announced today the addition of Mick Fleetwood the British musician and actor best known for his role as the legendary drummer and namesake of the band Fleetwood Mac.

In 1964 Mick Fleetwood met Peter Green and together in 1967 they formed the original blues lineup of Fleetwood Mac with Jeremy Spencer and John McVie. One year later guitarist Danny Kirwan joined the band. By 1969, Fleetwood Mac topped the British singles charts with their first million selling single, “Albatross”. Subsequent singles, “Man of the World” and “Oh Well,” saw Fleetwood Mac out-sell The Beatles and The Rolling Stones that year. By the time Mick Fleetwood was twenty-one years old, he had already played with such great blues artists as Willie Dixon, B.B. King, Buddy Guy and John Lee Hooker.

In 1970, Peter Green left the group and Mick Fleetwood assumed the role of bandleader and manager. He recruited Christine McVie and Fleetwood Mac carried on making great music. Throughout the years Fleetwood Mac went through many personnel changes, and in 1974 Fleetwood met, and added, Stevie Nicks and Lindsey Buckingham to the lineup. This proved to be a magical combination. In 1975, with the release of this lineup’s first album, FLEETWOOD MAC, the band quickly became an American household name. But it was their 1977 multi-Grammy award winning release RUMOURS that today still stands as one of the biggest selling albums of all time having sold over 40 million copies worldwide. It was also under Fleetwood’s guidance that Fleetwood Mac capitalized on their success with ground breaking world tours and further innovative releases, among them TUSK, MIRAGE, and TANGO IN THE NIGHT.

The year 1997 marked the twentieth anniversary of RUMOURS. Fleetwood Mac celebrated this milestone with the 5x multi-platinum, live album THE DANCE, which debuted at number one and remained on the Billboard charts for 77 weeks. The band also embarked on a much-anticipated U.S. tour. This event brought Mick Fleetwood, John McVie, Christine McVie, Stevie Nicks and Lindsey Buckingham back together for 62 sold out shows. Early 1998 found Fleetwood Mac inducted into the Rock n’ Roll Hall of Fame and also at the Brit Awards where they were given the award for Outstanding Contribution to British Music.

Throughout Fleetwood’s career he always wanted to capture that “True Organic Sound” that was in his head. Fleetwood felt that there is a tremendous loss of sound quality in how music is being delivered to the end user today. “We compromised the art for convenience” with compressed sound for audio and streaming devices. When Mick Fleetwood met up with the Max Sound team and experienced how their technology reversed this problem, he knew he had to be part of the team. “I was ready to give up on the quality of today’s audio, then I came across this revolutionary technology and it renewed my faith in the future of recorded music. “If you’re an artist, and you’re serious about your craft then Max Sound is a must” exclaimed Mr. Fleetwood. “We feel that Mr. Fleetwood will be a welcome addition to the Max Sound Advisory board because he shares our corporate vision, on delivering sound the way it was meant to be heard!” said John Blaisure CEO of Max Sound Corporation.

Mick Fleetwood is the most recent addition to Max Sound Advisory Board, which includes some of the most influential and respected names in the music/entertainment industry. They include Strategic Artist Manager Carl Stubner, Music Producer & Motown Catalogue owner Norman Whitfield Jr., PR Mavens Sugar Rautbord and Lane Davis, Grammy Winner Producer/Songwriter Bradley Spalter, Grammy Winning Feature Film Sound Designer Frank Serafine, Entertainment Lawyer Frank Correa, and Westwood Music Owner Fred Walecki.

In the 1980s, the music industry was energized with the introduction of the Compact Disc. In the 2000s, High Definition video changed how we watched television. In 2011, an innovative company in Santa Monica, California is going to change how we listen to music, watch movies, experience television, and communicate on our cell phones. High Definition audio is here. Hear it.

Max Sound HD Audio creates high definition audio content with extreme Realism and Definition in a way that no other audio technology compares! When the Max Sound process is applied to current standard audio, it is capable of reducing file size by up to 90%, resulting in a pristine and dynamic audio track (44.1 to 128kbps MP3). This provides a huge competitive advantage over other audio technologies, regardless of beginning and ending formats. The Max Sound process understands in real-time which harmonics have been lost or distorted during compression and is able to dynamically restore the audio to its original natural waveform. “This all happens in nanoseconds,” says Lloyd Trammell, Inventor and Chief Technology Officer of Max Sound Corporation.
